1) Definitions

“OPLA / SOPLA”
Means this Open Patches License Agreement (and/or Synthonia Open Patches License Agreement) applicable to all sound-packs, patches, and digital assets distributed on our platforms.
“Platforms”
Refers to the authorized multivendor e-commerce web platforms, including but not limited to Synthonia.com and Synthcloud.com.
“Patches and Sound Assets”
Are digital instruction sets, configurations, waveforms, or samples designed for specific hardware or software instruments to produce desired sounds. This definition strictly includes:
  • Hardware and Software Synthesizers (Patches, Banks, Presets).
  • Virtual Instruments, DAWs, and VST/AU/AAX Plugins.
  • Guitar and Bass Processors, Modelers, and Profilers (including but not limited to **Presets, Profiles, Captures, Tone Models, and Impulse Responses / IR**).
“Sound packs”
Are collections of Patches and Sound Assets, including their commercial descriptions, imagery, and user instructions, distributed as a single package or file set, whether offered for sale (Commercial) or free of charge (Free Sounds).

2) Scope of the License & Multivendor Ecosystem

Section A – Vendor and Programmer Terms

By uploading, publishing, or selling your Sound Packs on our Platforms, you acknowledge that your assets are governed by this agreement. You retain the intellectual property rights of your original programming, but you grant the Platforms the non-exclusive right to host, market, distribute, and process commercial or free transactions for your products.

It is strictly forbidden to upload pirated content, copyrighted material belonging to third parties without authorization, or unmodified factory content from commercial instruments.

Section B – End User Terms (Commercial & Free Content)

This agreement grants you a non-exclusive, non-transferable, perpetual license to use the Patches and Sound Assets acquired through our Platforms. **The content is licensed to you, not sold.**

Acceptance of Terms: This license agreement constitutes a binding legal contract between you and the Platforms. By clicking "Buy", "Download", "Install", or otherwise accessing and using the Patches and Sound Assets, you explicitly acknowledge and agree to be bound by all the terms and conditions of this Agreement.

Musical Production Rights: You are fully authorized to use these sounds in your own musical, audio, or multimedia productions (including commercial tracks, live performances, broadcast music, film scores, etc.) on a 100% Royalty-Free basis. You do not owe any additional royalties to the author or the Platforms for the music you create using these assets.

Device Limitations: You may install and use the acquired assets on multiple computers, synthesizers, or guitar processors under your exclusive ownership and control. You must permanently delete the assets before selling, renting, or transferring any computer or hardware device to a third party.

3) Strict Restrictions, Distribution, and Modification Rules

To protect our authors and our digital marketplace, the following rules apply to every user who receives sound assets from our Platforms, whether via purchase or free download:

  • A) Prohibition of Resale and Redistribution: You are strictly prohibited from selling, renting, licensing, gifting, sharing, uploading to public file-sharing networks, or otherwise distributing the unmodified Patches and Sound Packs in their original form.
  • B) No Reverse Engineering: You are strictly prohibited from deconstructing, decompiling, extracting raw PCM audio/waveforms, or reverse-engineering any proprietary file formats, Profiles, Captures, or digital assets for the purpose of recreating the sound source or transferring it to competing software or hardware platforms.
  • C) Derivative Works & Modification Rule (The Ecosystem Rule): If you modify, tweak, rework, improve, or customize any Patch, Sound Pack, Guitar Profile, or IR acquired from our Platforms, your rights are strictly limited to the following two scenarios:
    • Private Use Only: You may keep the modified versions strictly for your own private musical use and productions.
    • Ecosystem Resale Only: You are **NOT** allowed to sell or distribute your modified/derived versions on external websites, forums, personal stores, or competing platforms. The **ONLY** authorized way to redistribute or sell your modified versions is by registering as an approved Vendor directly on our official Multivendor Platforms (Synthonia.com / Synthcloud.com) and distributing them within our ecosystem.
  • D) Sampling Restrictions: You may sample the Patches for your own personal music creation, but you cannot compile those samples into new commercial Sample Packs, Waveform Libraries, or instrument expansions to be distributed outside our Platforms.
  • E) Software/Media Transfer: You cannot transfer your license or account to a third party. If you need information regarding license transfers under special circumstances, contact official support.

4) Disclaimer of Liability

SYNTHONIA & SYNTHCLOUD SHALL NOT BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES, INCLUDING LOSS OF PROFITS, REVENUES, OR DATA ARISING OUT OF THE USE OR INABILITY TO USE THE DIGITAL ASSETS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE LIABILTY EXCEED THE ACTUAL PURCHASE PRICE PAID FOR THE PRODUCT ON OUR MULTIVENDOR PLATFORMS.

5) Applicable Law

Any and all claims, suits, or legal disputes arising from your use of the software, patches, or platforms shall be governed by and determined in accordance with the laws of Italy. You agree to submit to the exclusive jurisdiction of the courts of Italy for any legal action.

6) General Contacts & Severability

Severability Clause: If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
